Based on Decision 36/2025/QD-TTg, from November 15, 2025, when establishing an enterprise, a landscape service business company needs to register the following business lines:

• 0118: Growing of vegetables, beans and flowers.
• 01183: Growing of annual flowers (This group includes: Growing for sale of flowers serving daily life needs, beautifying landscapes, environment…).
• 0129: Growing of other perennial crops.
• 01291: Growing of perennial ornamental plants (This group includes: Growing ornamental plants serving daily life needs, beautifying landscapes, environment, cultural activities such as: peach blossom trees, apricot blossom trees, ornamental kumquat trees, banyan trees, ficus trees…).
• 4212: Construction of roads.
• 4299: Construction of other civil engineering projects.
• 4322: Installation of plumbing, heating and air-conditioning systems.
• 4653: Wholesale of agricultural machinery, equipment and spare parts.
  • This group includes: Wholesale of gardening and landscape tools, for example: lawn mowers.
• 4752: Retail sale of hardware, paint, glass and other construction installation materials and equipment.
  • This group includes: Retail sale of gardening and landscape design equipment and tools, for example: lawn mowers….
• 4773: Retail sale of other new goods (excluding automobiles, motorcycles, motorbikes and auxiliary parts).
  • This group includes: Retail sale of flowers, ornamental plants, ornamental fish, pet birds, pets.
• 7110: Architectural and engineering activities and related technical consultancy.
  • This group includes: Provision of architectural services, engineering services, drafting services, construction inspection services such as:
  • Architectural consulting services including: design and drafting of works;
  • Urban development planning and landscape architecture;
  • Supervision of basic construction.
• 8130: Landscape care and maintenance service activities. This group includes:
  • Planting, care, and maintenance of: Parks and gardens; private houses; public spaces;
  • Public or semi-public works (schools, hospitals, administrative agencies, churches…);
  • Urban land areas (parks, green areas, cemeteries…);
  • Trees on highway axes (roads, railways, tramlines, ports); industrial and commercial buildings;
  • Planting, care, and maintenance of green trees for: Buildings (roof gardens, facade gardens, indoor gardens);
  • Sports grounds, playgrounds, and other amusement parks (sports grounds, playgrounds, sunbathing lawns, golf courses);

Instructions on how to record business lines when establishing a company

• According to Decision 36/2025/QD-TTg, the Vietnam economic business line system is classified from level 1 to level 5; when choosing a business line, the enterprise registers a 4-digit business line;
• In case the enterprise wants to explain the business line in detail, it shall perform as follows:
  • Record the level 5 business line under the level 4 business line according to Decision 36/2025/QD-TTg;
  • For conditional business lines, record details according to the regulations of specialized laws;
  • For business lines not recorded in Decision 36/2025/QD-TTg but prescribed in other legal documents, record according to that legal document;
  • If the enterprise wishes to record a business line not prescribed in Decision 36/2025/QD-TTg or other documents, the business registration authority shall consider and approve.

Note: In case the company explains the level 4 business line in detail, the company’s business line is the detailed business line the company has recorded; The company must choose 01 main business line.

Landscape company establishment conditions

General conditions

• Choose to establish the company under one of the following types of enterprises: Partnership; Single-member Limited Liability Company; Multi-member Limited Liability Company; Joint Stock Company; Private Enterprise;
• Landscape companies do not require a minimum charter capital level, so organizations and individuals can freely declare charter capital depending on their needs, business scale, and financial capabilities;
• The company name must be set correctly according to regulations, not identical or confusingly similar to the name of a registered enterprise;
• The head office of the enterprise is determined according to the administrative unit boundaries, and the company headquarters address must not be registered at an apartment building, collective housing, or a place without commercial business functions.

Specific conditions

• In case the company trades in architectural services, landscape architecture design, it needs to meet the condition:
  • Have an individual responsible for architectural expertise or leading architectural design who has an architectural practice certificate;
  • Notify information to the Department of Construction, Department of Planning – Architecture under the Provincial People’s Committee where the enterprise operates.
• In case the company wholesales or retails materials, the goods the company trades must be suitable for the business line the company has registered.

Apply for Investment Registration Certificate

In case foreign investors want to establish a landscape company in Vietnam, they need to carry out procedures to apply for an Investment Registration Certificate before establishing the company:

• Dossier components:
  • Written request for implementation of the investment project;
  • Copy of passport of the investor or certificate of establishment registration of the foreign economic organization;
  • Documents proving the financial capacity of the investor;
  • Investment project proposal or pre-feasibility study report;
  • Copy of documents on land use rights;
  • Written explanation of technology used in the investment project.
• Dossier processing agency:
  • Department of Finance in the province or centrally run city where the foreign investor implements the investment project;
  • Management Board of industrial parks, export processing zones, high-tech zones, economic zones.
• Dossier processing time: 10 – 15 working days from the date of receiving a valid dossier.

Apply for Enterprise Registration Certificate

Based on the Enterprise Law 2020 and Decree 168/2025/ND-CP, the procedure for applying for a landscape Enterprise Registration Certificate is as follows:

• Dossier components include the following documents:
  • Application for enterprise registration;
  • Company charter if it is a partnership, limited liability company, joint stock company;
  • List of members if it is a partnership, multi-member limited liability company;
  • List of founding shareholders, list of shareholders being foreign investors of a joint stock company;
  • List of beneficial owners;
  • Copies of personal legal papers of the private enterprise owner, legal representative, members, owners, shareholders of the company, authorized representatives of capital contributions (In case the above subjects declare personal identification numbers and have performed comparison with the national population database, the above papers are not attached);
  • Copy of the certificate of establishment of the organization for members, shareholders, owners being organizations and document appointing the authorized representative of the capital contribution of the organization;
  • Copy of investment registration certificate.
• Dossier processing agency: Business Registration Office under the Department of Finance of the province or city where the enterprise intends to place its headquarters;
• Form of submission: Submit online on the national portal on business registration at website https://dangkyquamang.dkkd.gov.vn/;
• Dossier processing time: 03 working days from the date of receiving the dossier;
• Fees and charges for submission: 100,000 VND/dossier.
