Document Checklist for Affordable Company Setup Service in Vietnam

To ensure a fast, cost-efficient, and legally compliant company formation process, the preparation of a complete set of documents is crucial. Enterprise registration dossier in Vietnam

Pursuant to Articles 24 of Decree No. 168/2025/NĐ-CP and Articles 19, 20, 21, and 22 of the Law on Enterprises 2020, as amended in 2025, the registration dossiers for each enterprise type are prescribed as follows:

Private enterprise

• Application for enterprise registration.
• Copy of legal documents of the individual who is the owner of the private enterprise.

Partnership

• Application for enterprise registration.
• Company charter.
• List of members, list of beneficial owners of the enterprise (if any).
• Copy of legal documents of individual members.
• Copy of investment registration certificate for foreign investors in accordance with the Law on Investment.

Limited liability company (LLC)

Dossier for establishing a limited liability company

• Application for enterprise registration.
• Company charter.
• List of members; list of beneficial owners of the enterprise (if any).
• Legal documents of individuals for members who are natural persons, and of the legal representative.
• Legal documents of organizations for members that are organizations, and written authorization designating the authorized representative; legal documents of individuals for such authorized representatives. For members who are foreign organizations, copies of the organization’s legal documents must be consularly legalized.
• Investment registration certificate for foreign investors as prescribed by the Law on Investment.
• Power of attorney authorizing Viet An Law to carry out the procedure.

Joint stock company

• Application for enterprise registration.
• Company charter.
• List of founding shareholders; list of foreign shareholders; list of beneficial owners of the enterprise (if any).
• Legal documents of individuals for founding and foreign shareholders who are natural persons, and of the legal representative.
• Legal documents of organizations for shareholders being organizations, and written authorization designating the authorized representative; legal documents of individuals for the authorized representative of the founding and foreign shareholders. For shareholders who are foreign organizations, copies of the organization’s legal documents must be consularly legalized.
• Investment registration certificate for foreign investors as prescribed by the Law on Investment.
• Power of attorney authorizing Viet An Law.

Cases where legal documents of individuals may not be required

According to Article 24 of Decree No. 168/2025/NĐ-CP:

Where the authorized representative has declared the personal identification number as provided under Clause 1, Article 11 of this Decree, the enterprise registration dossier is not required to include copies of such individuals’ legal documents.

Previously, pursuant to Clauses 1 and 2, Article 12 of Decree No. 01/2021/NĐ-CP, the dossier had to include copies of the legal documents of authorized individuals or persons nominated by authorized organizations.

Accordingly, from July 1, 2025, the document checklist for affordable company setup service in Vietnam no longer requires physical copies of legal identification documents if personal identification numbers have been declared, as such information is verified via the national population database. This simplification enhances convenience and efficiency in the company registration process.

Templates of enterprise registration documents

The templates for enterprise registration dossiers are promulgated under Appendix I of Circular No. 68/2025/TT-BTC, including:

• Application for registration of private enterprise: Form No. 1
• Application for registration of single-member limited liability company: Form No. 2
• Application for registration of multi-member limited liability company: Form No. 3
• Application for registration of joint stock company: Form No. 4
• Application for registration of partnership: Form No. 5
• List of members of a multi-member limited liability company: Form No. 6
• List of founding shareholders of a joint stock company: Form No. 7
• List of foreign shareholders: Form No. 8
• List of members of a partnership: Form No. 9
• List of beneficial owners of the enterprise: Form No. 10

Notes on authorization in enterprise registration

Under Article 12 of Decree No. 168/2025/NĐ-CP, authorization for enterprise registration is regulated as follows:

• Authorization to an individual: The dossier must include a written authorization for the individual to carry out enterprise registration procedures. Such authorization does not require notarization or certification.
• Authorization to an organization: The dossier must include a copy of the authorization contract with the organization, together with a letter of introduction or assignment document of the individual representing the organization.
• Authorization to public postal service providers: The postal employee must submit a copy of the dispatch note bearing the signatures of both the postal employee and the authorized signatory of the enterprise registration application.

Notice on lectronic authentication:

• Both the authorizing and authorized parties must perform electronic authentication.
• If electronic authentication is disrupted, it may be completed post-registration.
• In the absence of an e-identification account, copies of valid identity cards, citizen identity cards, or passports must be attached to the dossier.

Electronic submission of enterprise registration dossiers

As prescribed in Article 38 of Decree No. 168/2025/NĐ-CP, enterprise registration dossiers submitted via electronic means have the same legal validity as paper dossiers. They must:

• Contain all required documents in electronic form;
• Include complete and accurate information consistent with the national business registration portal;
• Include contact details (phone and email) of the applicant;
• Be digitally signed or authenticated by the authorized person or their representative.

Documents clients must provide for affordable company formation

To enable Viet An Law to prepare a complete and compliant dossier promptly, clients are required to provide the following:

Information on the proposed company

• Company name in Vietnamese (in uppercase); foreign name (if any); abbreviated name (if any).
• Head office address: street/house number, hamlet/village, ward/commune, district, province/city, telephone, email (if any).
• Business lines.
• Charter capital.
• Source of charter capital.

List of members, shareholders, legal representatives, beneficial owners

• List of members for multi-member LLCs.
• List of founding shareholders for joint stock companies.
• List of foreign shareholders.
• List of partners for partnerships.
• List of legal representatives/authorized representatives/beneficial owners.

Legal documents of organizations and individuals

• Copy of individual legal documents for private enterprise owners.
• Legal documents of members/shareholders and organizations; authorization letters and legal documents of authorized representatives.
• For foreign organizational members or shareholders, legalized copies of legal documents are required.

Investment registration certificate (if applicable)

Required where the company is established by foreign investors or foreign-invested economic organizations under the Law on Investment. This section of the document checklist for affordable company setup service in Vietnam is critical for verifying investment sources and ownership structure.

Additional dossier requirements in special circumstances

Enterprises formed from division, separation, or merger

In the case of division of a limited liability company or a joint-stock company, in addition to the usual documents, the enterprise registration dossier for the newly established company must include: a copy or the original of the resolution or decision on the division of the company as prescribed in Article 198 of the Law on Enterprises.

In the case of separation of a limited liability company or a joint-stock company, in addition to the usual documents, the enterprise registration dossier for the separated company must include: a copy or the original of the resolution or decision on the separation of the company as prescribed in Article 199 of the Law on Enterprises.

In the case of merger of several companies into a new company, in addition to the usual documents, the enterprise registration dossier for the merged company must include the following papers:

• Merger contract as prescribed in Article 200 of the Law on Enterprises;
• Resolution or decision approving the merger contract of the merging companies and a copy of the minutes of the meeting of the Members’ Council (for a limited liability company with two or more members or a partnership), or of the General Meeting of Shareholders (for a joint-stock company) approving the merger contract for the establishment of a new company.

In the case of transformation of enterprise type:

In the case of conversion of a private enterprise into a partnership, limited liability company, or joint-stock company, the dossier must include the following papers:

• A written commitment of the owner of the private enterprise to personally bear
• limited liability with all of his/her property for all outstanding debts, and a commitment to fully repay such debts when due;
• A written agreement between the owner of the private enterprise and the parties to unliquidated contracts regarding the continuation of such contracts by the converted company;
• A written commitment or written agreement between the owner of the private enterprise and other contributing members on the acceptance and use of the existing employees of the private enterprise;
• A capital transfer contract or documents evidencing completion of the transfer in case of transfer of the capital of the private enterprise; a donation contract in case of capital donation; a copy of the document certifying the lawful inheritance right of the heir in case of inheritance as prescribed by law;
• A copy of the written approval of the investment registration authority regarding the capital contribution, share purchase, or purchase of capital contribution portions by foreign investors or foreign-invested economic organizations, in cases subject to registration procedures as prescribed by the Law on Investment.

In the case of conversion of a single-member limited liability company into a multiple-member limited liability company, the dossier must include the following papers:

• A capital transfer contract or documents evidencing completion of the transfer in case of transfer of capital contribution; a donation contract in case of donation of capital contribution; a copy of the document certifying the lawful inheritance right of the heir in case of inheritance as prescribed by law;
  • A copy of the written approval of the investment registration authority regarding the capital contribution, share purchase, or purchase of capital contribution portions by foreign investors or foreign-invested economic organizations, in cases subject to registration procedures as prescribed by the Law on Investment.

In the case of conversion of a multiple-member limited liability company into a single-member limited liability company, the dossier must include: a copy of the written approval of the investment registration authority regarding the capital contribution, share purchase, or purchase of capital contribution portions by foreign investors or foreign-invested economic organizations, in cases subject to registration procedures as prescribed by the Law on Investment.

In the case of conversion of a limited liability company into a joint-stock company and vice versa, the dossier must include the following papers:

• A transfer contract or documents evidencing completion of the transfer in case of transfer of shares or capital contribution portions; a donation contract in case of donation of shares or capital contribution portions; a copy of the document certifying the lawful inheritance right of the heir in case of inheritance as prescribed by law; a merger contract or consolidation contract in case of company merger or consolidation; a purchase contract in case of company share or capital contribution repurchase;
• A copy of the written approval of the investment registration authority regarding the capital contribution, share purchase, or purchase of capital contribution portions by foreign investors or foreign-invested economic organizations, in cases subject to registration procedures as prescribed by the Law on Investment.

Conversion from household business to enterprise:

• The dossier for registration of establishment of an enterprise on the basis of conversion from a household business shall include a copy of the household business registration certificate and the papers in the enterprise registration dossier corresponding to the type of enterprise, excluding a copy of the investment registration certificate.
• In case the enterprise converted from a household business has foreign investors or foreign-invested economic organizations participating in capital contribution, share purchase, or purchase of capital contribution portions subject to registration procedures as prescribed by the Law on Investment, the dossier must include a copy of the written approval of the investment registration authority regarding such participation.
