Mandatory use of electronic invoices
From 2022 onward and continuing in 2025, all newly established enterprises must register for the use of electronic invoices immediately after being issued a tax identification number. This is a mandatory requirement under the Law on Tax Administration and Decree No. 123/2020/ND-CP.
Immediately after completing enterprise registration, business owners must:
Register for the use of electronic invoices via the tax authority’s portal;
Sign contracts with reputable electronic invoice software providers;
Issue valid electronic invoices before conducting transactions with customers.
Failure to comply within the prescribed time limits may result in administrative penalties under applicable laws. Therefore, preparing this process in advance is extremely important.
Reduction in conditional business lines
Pursuant to Resolution No. 139/NQ-CP promulgating the Government’s plan to implement Resolution No. 198/2025/QH15 dated 17 May 2025 of the National Assembly on special mechanisms and policies for private economic development, the list of conditional business lines has been streamlined under the amended Law on Investment.
As a result, some common business sectors have removed requirements for sub-licenses or practicing certificates, simplifying and expediting company establishment procedures in 2025.
Example: Certain fields in education, brokerage, and consultancy services have reduced procedures or shifted to post-inspection mechanisms instead of prior licensing, creating more favorable conditions for newly established enterprises.
Declaration of beneficial owners from 01/07/2025
Under Article 17 of Decree No. 168/2025/ND-CP, a beneficial owner is an individual who can control or benefit from an enterprise, even if not named in the enterprise registration certificate. Accordingly, Article 18 of Decree No. 168/2025/ND-CP requires enterprises to declare beneficial owner information, including:
Individuals who are shareholders owning 25% or more of the total voting shares;
Individuals who are members owning 25% or more of the charter capital of partnerships or limited liability companies with two or more members;
Individuals who are owners of single-member limited liability companies.
Business registration authorities after administrative mergers
Pursuant to Resolution No. 60-NQ/TW on the merger of provinces nationwide, many provinces have been merged and the headquarters of business registration authorities have been relocated. Therefore, when registering an enterprise, attention must be paid to the name of the competent business registration authority and the correct location for dossier submission.
