What is required for the dossier to set up a company for bedding business?

• Company Charter;
• List of founding shareholders and shareholders being foreign investors (if it is a joint-stock company);

• Establishment decision, enterprise registration certificate or equivalent document and citizen identity card or identity card or passport accompanied by written authorization for the capital manager in Vietnam (if organization);
• Certified copy of Investment Registration Certificate;

Dossier applying for Investment Registration Certificate

• Written request to implement investment project;
• Copy of passport of foreign investor;
• Investment project proposal;
• Copy of Bank confirmation having balance corresponding to the investment amount;
• In case the investment project does not request the State to allocate land, lease land, or allow change of land use purpose, submit copies of papers on land use rights: Real estate lease contract, red book;
• Construction decision or other documents proving the project implementation location;
• Content explaining the technology used in the investment project for projects subject to appraisal and consultation on technology according to the law on technology transfer;
• Other documents related to the investment project, requirements on conditions, capacity of investors according to the provisions of law (if any).

Latest procedure process to set up a company for bedding business

Step 1: Prepare full dossiers to set up a company with foreign investment capital;

Step 2: Submit dossier applying for Investment Registration Certificate;

Step 3: Receive Investment Registration Certificate result;

Step 4: Submit enterprise establishment dossier to the business registration agency under the Department of Finance where the enterprise is headquartered;

Step 5: Receive the result of Enterprise Registration Certificate from the Department of Finance. Carve company seal, including: Legal entity seal (round seal) and title seal (rectangular seal);

According to Article 43 of the Law on Enterprises 2020, seals include seals made at seal engraving establishments or seals in the form of digital signatures according to the law on electronic transactions.

Enterprises do not need to perform procedures to notify the seal sample before use.

Enterprises decide the type, quantity, form, and content of seals of the enterprise, branches, representative offices, and other units of the enterprise.

Therefore, enterprises can carve seals themselves or go to seal engraving establishments to make seals.

Competent authority to receive and process dossiers

Enterprise establishment dossiers (including Application, Charter, List of members…) will be submitted to the Business Registration Office – Department of Finance where the enterprise is headquartered (Department of Planning and Investment after merger).

• Resolution time: From 03 – 05 working days from the date of receiving a valid dossier.
• State fee: 0 VND (since dossiers from July 1, 2025 are submitted 100% online).

Taxes and important notes after you set up a company

Enterprise information disclosure fee

According to the provisions of Decree 168/2025/ND-CP on enterprise registration, the person submitting the enterprise registration dossier pays the enterprise registration fee and charge at the time of submitting the enterprise registration dossier.

Enterprise registration fees and charges can be paid directly at the Office or transferred to the account of the Business Registration Office or using electronic payment services. According to Circular 47/2019/TT-BTC, the fee for publishing enterprise establishment information is 100,000 VND/time.

Enterprises have the obligation to publish within 30 days from the date of ERC issuance.

Note on Declaration of conformity for textile products (QCVN)

The characteristic of the bedding industry is that textile products come into direct contact with user’s skin. Therefore, according to regulations of the Ministry of Industry and Trade (QCVN 01:2017/BCT on limits of formaldehyde and azo dye-derived aromatic amines in textile products), these products before being put on the market must be tested for Formaldehyde and Aromatic Amines content, simultaneously perform declaration of conformity and attach the CR mark. This is a specialized legal procedure that ordinary law offices rarely mention.

Update on CIT tax incentive policies and enterprise support according to Decree 20/2026/ND-CP

Implementing Resolution 198/2025/QH15, the Government issued Decree 20/2026/ND-CP to concretize specific mechanisms for the private economic sector.

Below are the key contents on tax incentives and investment support:

Tax exemption policy for new enterprises

• Mechanism: Exemption of 100% Corporate Income Tax (CIT) for 03 consecutive years.
• Scope of application: Small and medium-sized enterprises (SME) registering for new establishment for the first time.

Excluded cases (Anti-policy profiteering)

To ensure fairness, the above incentives do not apply to:
