For members who are organizations: Name, enterprise code and address of the head office.
(Note: The enterprise number is fixed and does not change throughout the operation of the enterprise)
Pursuant to the contents of Official Letter 4370/BTC-DNTN in 2025, the Ministry of Finance has provided detailed guidance on business registration for cases with adjustments to administrative boundaries as follows:
Legality of Issued Certificates: All types of issued Certificates (including Certificates of Registration of Enterprises, Business Households, Cooperatives, and Certificates of Operation of Branches/ROs/Business Locations) remain legally valid and continue to be used normally.
Regulations for business registration agencies: Business registration agencies are not allowed to require or compel enterprises, business households, etc. must carry out the procedures for registering the change of address information only for the reason of change of administrative boundaries.
Enterprise’s initiative: Updating the new address information on the Certificate is the right, not the obligation of the enterprise. Enterprises can choose to do this when there is a need or at the same time register to change other contents to optimize procedures (such as changing capital, industry, representative, etc.).
Cases restricted from carrying out change procedures
The law also stipulates cases in which enterprises are restricted and not allowed to carry out procedures for changing business registration contents. Specifically, the Business Registration Authority will refuse to process the dossier if the enterprise falls into one of the following situations:
Company that has been notified of violations: Including cases where the enterprise has received an official notice from the Business Registration Office of the violation, leading to the revocation of the Enterprise Registration Certificate (ERC), or has a Decision to revoke the ERC.
Company is in the process of dissolution: From the time the enterprise approves the dissolution decision and is in the stage of carrying out dissolution procedures, the enterprise is not allowed to make changes to the registered contents.
At the request of a competent State agency: The registration of changes will be suspended or not carried out when the Business Registration Authority receives a written request from the Court, the Judgment Enforcement Agency, or the Public Security Agency, in order to serve the proceedings. investigation or enforcement of judgments related to enterprises.

Written record of the Decision on change of business registration contents: Depending on the type of enterprise, including:
Decision of the Members’ Council (For limited liability companies with two or more members).
Decision of the General Meeting of Shareholders or the Board of Directors (for Joint Stock Companies).
An application for registration of changes in the content of the Enterprise Registration Certificate: According to Form No. 12 of Circular 68/2025/TT-BTC.
List of Beneficial Owners: According to Form No. 10, Circular 68/2025/TT-BTC (Details of Beneficial Owners are interpreted in Section IV).
Other documents depending on the content of the change:
Change of Legal Representative (if there is capital transfer): Supplement the Transfer Contract and/or Liquidation Record.
Changing the address of the head office other than the tax authority: There must be a written certification of the completion of tax finalization procedures at the old tax authority to transfer to the new tax authority.
Increase of charter capital: Supplement the minutes of the meeting on the capital increase and documents certifying the completion of the capital contribution, such as receipts, shareholder books.
Submission and processing of dossiers to change business registration in Dinh Cong Ward
Step 1: Submit the application
Currently, except for some special cases, the dossier of change of business registration must be submitted electronically. Enterprise can access the National Business Registration Portal at the following link: https://dangkyquamang.dkkd.gov.vn/online/. The applicant uses a public digital signature (USB Token) or Business Registration Account to authenticate and submit the application.
Step 2: Process the application and Get the result
Normally, the Business Registration Authority will process the dossier within 03 (three) working days from the time of receipt of a valid dossier. Currently, Hanoi city is implementing the issuance of an electronic version of the Business Registration Certificate. Therefore, the result received by businesses will be a PDF file with a digital signature of the Business Registration Authority, which has the same legal validity as a paper copy instead of a hard paper copy as before.
Notes when changing business registration in Dinh Cong Ward
According to the provisions of Article 17, Decree 168/2025/ND-CP, enterprises are obliged to declare information about the beneficial owner when establishing a new one or registering a change of business registration. A business beneficial owner is defined as an individual who meets one of the following criteria:
Individuals who directly or indirectly own 25% of the charter capital or 25% or more of the total voting shares of the enterprise.
