Adjustment of Investment Registration Certificate due to change in investor information

Investment registration certificate is an important document (in paper or electronic version) to record investor’s registration information about an investment project. After obtaining the Investment Registration Certificate, the investor may adjust the previously issued Investment Registration Certificate due to certain factors. Dossier for adjustment of Investment Registration Certificate due to change in investor information

Dossier include:

• A written request for adjustment of the investment project;
• Report on the implementation of investment projects up to the time of adjustment;
• Investor’s decision on adjustment of investment project for institutional investors;
• Written explanations related to the adjustment of investor information ;
• Notarized copy of Investment Registration Certificate, Enterprise Registration Certificate;
• Notarized copy of the audited financial statement closest to the adjusted time (showing full capital contribution or confirmation of the bank that the investor has fully contributed capital).
• Documents proving the investor’s change of information (ID card/ citizen identification card /Passport for individuals or Enterprise Registration Certificate /Operation license,.. and ID card/ citizen identification card / Passport of legal representative);

Note:

• Investors and economic organizations need to submit sufficient reports on investment activities and investment supervision reports in accordance with law;
• Documents issued by foreign countries need to be consular legalized, translated into Vietnamese and certified in accordance with Vietnamese law.

Authority to adjust the Investment Registration Certificate

The Department of Planning and Investment or the Management Board of industrial parks, export processing zones, high-tech zones and economic zones where the company’s head office is located shall appraise the application for adjustment of the Investment Registration Certificate.

Time to carry out procedures for adjustment of Investment Registration Certificate

Within 10 days from the day on which the valid application is received, the Investment Registration Agency shall amend the Investment Registration Certificate for the investor.
