Private Enterprise Registration Form in Vietnam

From July 1, 2025, numerous outdated legal documents will be amended, supplemented, or replaced by new legal provisions that are more aligned with the country’s development goals. Among them, the Law on Enterprises 2020 has been revised and supplemented in 2025. Accordingly, the Ministry of Finance issued Circular No. 68/2025/TT-BTC promulgating the templates used for business registration and household business registration. The following article by Viet An Law will assist clients in updating the new provisions of the Law on Enterprises regarding the latest Private Enterprise Registration Form.

    Circulars Ceasing to Be Effective from July 1, 2025

    From July 1, 2025, Circular No. 68/2025/TT-BTC on the promulgation of templates used for enterprise registration and household business registration will replace the following circulars:

    Circulars Regulating Enterprise Registration Form Templates to Be Invalidated as of July 1, 2025

    Application Form for Private Enterprise Establishment

    The new Application Form for Private Enterprise Registration effective from July 1, 2025, is prescribed in Form No. 01, Appendix I, of Circular No. 68/2025/TT-BTC.

    The following is the structure of the application form:

    • Introduction Section
    • Name of the competent authority receiving the application;
    • Full name of the applicant;
    • Personal identification number;
    • Contact address.
    • Content of the Application
    • Business information: enterprise name, head office address, registered business lines;
    • Committed investment capital of the owner;
    • Tax registration information;
    • Information on social insurance contributions;
    • Commitment to comply with legal regulations and assume full legal responsibility.
    • Conclusion Section
    • Signature and full name of the business owner.

    Some Notes When Completing the Private Enterprise Registration Form (Effective from July 1, 2025)

    Notes When Filling in the Application for Registration Using the New Template

    • Personal Information Declaration When Completing the Private Enterprise Registration Form in Vietnam (According to Article 11 of Circular No. 68/2025/TT-BTC)
    • In cases where a personal identification number (PIN) has been issued, the applicant must declare their full name (first, middle, last), date of birth, gender, and PIN in the Private Enterprise Registration Form in Vietnam. This also applies to any other individuals whose personal information is required in the registration dossier. The applicant must consent to the sharing of personal information stored in the National Population Database with the Business Registration Authority and other relevant state agencies for administrative purposes in accordance with the law.
    • If submitting a paper-based application, the applicant must present a valid Citizen Identity Card or Electronic Identification as required by law. In cases where the applicant does not have a PIN, a copy of a valid passport (or foreign passport or equivalent valid legal identification documents) must be attached to the application dossier, as prescribed.
    • If the individual whose personal information must be declared (e.g., the business owner, member, shareholder, legal representative, or authorized representative of an organization, branch, or representative office) does not have a PIN, the registration dossier must include a copy of their passport (or equivalent legal document) that is still valid.
    • In the event of disruption in data connection between the National Business Registration Database and the National Population Database, the Private Enterprise Registration Form in Vietnam must be accompanied by a copy of a valid identity document such as a Citizen Identity Card, passport, or equivalent document for all relevant individuals as outlined above.
    • Notes on Declaring Business Lines in the Private Enterprise Registration Form in Vietnam

    According to Article 7 of Decree No. 168/2025/ND-CP, when registering a new private enterprise, the applicant must select a Level-4 economic sector from the Vietnam Standard Industrial Classification System to declare in the Private Enterprise Registration Form in Vietnam.

    For conditional business lines regulated by other legal normative documents, the business lines must be recorded in accordance with the specific provisions stated in those documents. These conditions must also be clearly declared in the Private Enterprise Registration Form in Vietnam.

    • For business lines not listed in the Vietnam Standard Industrial Classification System but regulated by other legal normative documents, such business lines must be written according to the names specified in those legal documents. These must also be declared accurately in the Private Enterprise Registration Form in Vietnam.
    • For business lines that are not included in the Classification System and not regulated in any legal normative document, the Business Registration Authority shall temporarily accept the business line, provided that it is not a prohibited sector. Simultaneously, it must notify the Ministry of Finance to consider adding the new business line. In this case, the declaration in the Private Enterprise Registration Form in Vietnam must reflect the newly proposed line.
    • If the enterprise wishes to declare a more detailed business line than a Level-4 classification, it must still choose a corresponding Level-4 sector from the Classification System and list the specific activities underneath. However, such details must remain consistent with the selected Level-4 sector. The business line stated in the Private Enterprise Registration Form in Vietnam will be the detailed activity declared by the enterprise.

    According to Article 24 of Decree 168/2025/ND-CP, in the case where the owner of a private enterprise declares their personal identification number as prescribed in Clause 1, Article 11 of this Decree, the application dossier for private enterprise registration is not required to include a copy of the legal personal documents of the enterprise owner.
