Employment service business conditions

Investors when conducting employment service business activities must first meet the conditions to be granted an operation license. Based on Article 14 of Decree No. 23/2021/ND-CP, the conditions for granting a license are prescribed as follows:

First, must have a location for the headquarters or branch to organize employment service activities owned by the enterprise or stably leased by the enterprise under a contract of 03 years (36 months) or more.

Second, the enterprise has made a deposit of 300,000,000 VND (Three hundred million Vietnamese Dong).

Third, regarding the legal representative of the enterprise performing employment service activities, they must ensure the following conditions:

• Be a manager of the enterprise according to the provisions of the Enterprise Law;
• Not falling into one of the following cases: being examined for penal liability, being detained, serving a prison sentence, serving an administrative handling measure at a compulsory detoxification establishment or compulsory education establishment, escaping from the place of residence, having restricted or lost civil act capacity, having difficulties in cognition or behavior control, being banned by the Court from holding office, practicing or doing work related to employment services;
• Have a university degree or higher or have directly performed professional work or management of employment services or labor supply for full 02 years (24 months) or more within the consecutive 05 years prior to the request for licensing.

Employment service business lines

The group of employment service business lines includes: activities of searching, selecting, and replacing workers, supplying workers at the request of customers for a limited period of time to supplement the customer’s workforce, activities of providing human resources and human resource management services in the role of a broker.

This industry also includes:

• Executive search and placement activities;
• Activities of casting agencies.

Employment service business company establishment procedure

Based on Articles 19, 20, 21, and 22 of the Enterprise Law 2020, amended and supplemented in 2025, the enterprise establishment dossier is as follows:

• Application for enterprise registration.
• Company charter.
• List of members/list of shareholders; list of beneficial owners of the enterprise (if any).
• Copies of the following papers:
  • Legal papers of the individual in case the member is an individual, legal representative;
  • Legal papers of the organization in case the member is an organization and document appointing the authorized representative; legal papers of the individual for the authorized representative of the member being an organization.
  • For members being foreign organizations, a copy of legal papers that have been consularly legalized is required;
  • Investment registration certificate for foreign investors.

Employment service operation license application procedure

Employment service business activity is a conditional business line. Accordingly, the company needs to contact the competent authority to apply for an Employment Service Operation License to trade in this type of business line.

The dossier for applying for an employment service operation license includes:

• Written request for license issuance of the enterprise according to Form No. 02, Appendix II issued with Decree 23/2021/ND-CP;
• 01 certified copy from the original or copy, presenting the original for comparison of the Certificate of ownership or location lease contract according to regulations in Clause 1 Article 14 of Decree 23/2021/ND-CP;
• Certificate of deposit for employment service activities according to Form No. 03, Appendix II issued with Decree 23/2021/ND-CP;
• Curriculum vitae of the legal representative of the enterprise according to Form No. 04, Appendix II issued with Decree 23/2021/ND-CP;
• Judicial record card No. 1 according to the law on judicial records of the legal representative of the enterprise.
  • In case the representative is a foreigner not subject to the issuance of judicial record card No. 1, it shall be replaced by a judicial record card or a written confirmation that they are not currently serving a penalty or have not had their criminal record expunged or are not currently under criminal investigation of the foreign country;
• 01 certified copy from the original or copy, presenting the original for comparison of professional degrees according to regulations at Point c Clause 3 Article 14 of Decree 23/2021/ND-CP or one of the documents proving the time directly performing professional work or management of employment services or labor supply of the legal representative of the enterprise as follows:
  • Certified copy from the original or copy, presenting the original for comparison of the labor contract or working contract or decision on recruitment, appointment, assignment of tasks of the legal representative of the enterprise;
  • Certified copy from the original or copy, presenting the original for comparison of the appointment decision (for persons working under the appointment regime) or document recognizing election results (for persons working under the election regime) of the legal representative of the enterprise or copy of the enterprise registration certificate (for the case of being the legal representative of an enterprise operating employment services).

Note: Based on Clause 2 Article 28 of the Law on Employment 2025 stipulating conditions for enterprises providing employment services, enterprises operating employment services may establish branches when the branch has physical facilities meeting the requirements of employment service activities and must notify the specialized agency on employment of the Provincial People’s Committee where the headquarters is located before performing employment service activities.

Employment service business license application submission process

Based on Article 18 of Decree 23/2021/ND-CP regulating the procedure for granting Employment Service Operation Licenses as follows:

Submission process

• The enterprise sends 01 set of dossier according to regulations in Article 17 of Decree 23/2021/ND-CP to the Department of Labor and Home Affairs where the enterprise places its headquarters to request a license.
• After checking sufficient papers prescribed in Article 17 of Decree 23/2021/ND-CP, the Department of Labor and Home Affairs issues a receipt clearly stating the date, month, and year of receiving the dossier requesting the license.
• Within a period of 07 working days, from the date of receiving the guaranteed dossier according to regulations, the competent state agency considers and grants the license to the enterprise; in case of refusal to grant the license, it shall reply in writing to the enterprise and clearly state the reason.
