    What is Real Estate Brokerage?

    According to the provisions of Clause 2, Article 3 of the Law on Real Estate Business 2023, real estate brokerage is one of the activities classified in the group of real estate service business lines. More specifically, Clause 11 of this Article defines real estate brokerage activity as acting as an intermediary for parties in the sale, transfer, lease, sublease, and lease-purchase of real estate.

    Article 62 of the Law on Real Estate Business 2023 lists the contents of real estate brokerage activities including:

    • Searching for partners meeting the customer’s conditions to participate in negotiations and signing contracts.
    • Providing land and housing information, supporting parties in negotiating and signing contracts for sale, transfer, lease, etc. of real estate.

    Based on Clause 5, Article 9 of the Law on Real Estate Business 2023, organizations and individuals when trading in real estate services must establish a company in accordance with the law on enterprises or establish a cooperative or union of cooperatives in accordance with the law on cooperatives (collectively referred to as real estate service business enterprises), and must meet the conditions prescribed by this Law.

    Conditions for Compliance Real Estate Brokerage Company Registration in Vietnam

    According to the provisions of Article 61 of the Law on Real Estate Business 2023, to establish a real estate brokerage service business company, the following conditions must be met:

    • The real estate brokerage service business organization must establish an enterprise or establish a cooperative or union of cooperatives and must have at least 01 person possessing a real estate brokerage practice certificate.
    • The real estate brokerage service business company must have regulations on real estate brokerage service operations and must have material and technical facilities meeting operational requirements as prescribed by the Government;
    • Before conducting real estate brokerage business activities, the enterprise shall send information about the enterprise to the provincial-level state management agency on real estate business where the enterprise is established to post information on the housing and real estate market information system.
    • To be able to carry out real estate brokerage activities, the real estate brokerage service business company must register suitable business lines related to real estate brokerage activities.

    According to regulations in Decision 36/2025/QD-Tg, real estate business activities are classified into the industry “Intermediary services for real estate activities” – industry code: 6821.

    Process of Real Estate Brokerage Service Company Establishment

    Customers carry out procedures to establish a real estate brokerage service business company according to the following sequence:

    • Select the business line code as mentioned in the section above.
    • Prepare a full enterprise establishment dossier. Including:
      • Application for enterprise registration
      • Company Charter (except for private enterprises)
      • List of owners, members, shareholders
      • Copies of papers of related individuals and organizations
      • Investment Registration Certificate
    • Submit the company establishment dossier and pay fees via the National Business Registration Portal;
    • Receive the result of the Enterprise Registration Certificate from the Business Registration Office within 03 – 05 working days;
    • The Business Registration Office publishes enterprise information according to regulations.

    The enterprise performs post-establishment procedures such as:

    • Engrave and use the seal;
    • Hang the signboard at the headquarters;
    • Register for a digital signature and bank account;
    • Register for tax declaration and use electronic invoices.

    Issuance of Real Estate Brokerage Practice Certificate

    Conditions for Issuance of Real Estate Brokerage Practice Certificate

    As mentioned above, for the company to legally carry out real estate brokerage activities, there must be at least 01 person possessing a real estate brokerage practice certificate.

    A real estate brokerage practice certificate is a type of certificate issued by a competent authority to individuals operating in the field of real estate brokerage.

    According to Article 70 of the Law on Real Estate Business 2023, to be granted a real estate brokerage practice certificate, an individual must meet sufficient standards regarding qualifications, experience, and capacity according to regulations. Accordingly, an individual is granted a real estate brokerage practice certificate when meeting the following conditions:

    • Passed the examination: An individual is eligible to take the examination if meeting the following conditions:
      • Having a certificate of completion of a training and fostering course on real estate brokerage practice knowledge.
      • Having a high school diploma or higher.
      • Having submitted the dossier for exam registration and exam funding to the unit organizing the examination.
    • Having full civil act capacity;
    • Not being examined for penal liability, not being temporarily detained, imprisoned, sent to a compulsory detoxification establishment, compulsory educational institution, or being prohibited by the Court from holding certain positions, practicing, or doing certain jobs.

    Procedures for Issuance of Real Estate Brokerage Practice Certificate

    Individuals with a need for certificate issuance register and participate in the examination organized by the Department of Construction. The exam paper meets requirements when having the following results:

    • The foundational knowledge part achieves 70/100 points or more;
    • The professional knowledge part achieves 70/100 points or more.

    After having the examination results, the Chairman of the Examination Council reports to the Director of the Department of Construction on the exam organization process and approves the exam results at the proposal of the exam organizing unit;

    Based on the report of the Chairman of the Examination Council and the exam results approved by the Chairman of the Examination Council, the Director of the Department of Construction approves the list of individuals granted certificates;

    Based on the decision approving the list of individuals granted certificates, the unit organizing the examination is responsible for transferring photocopies of exam papers and dossiers of those individuals to the Department of Construction for certificate issuance.

    Within 10 working days from the date of receiving a valid dossier, the Department of Construction organizes printing and signs for the issuance of the certificate. The certificate is valid nationwide for a period of 05 years from the date of issuance.
