    Step 1: Prepare documents

    • Additional documents (Depending on the specific contents of changes): The dossier will need to be supplemented with legal documents corresponding to the content of the change.
      • In case of change of legal representative: If the change arises from the transfer of contributed capital/shares, it is necessary to supplement the transfer contract and/or the contract liquidation record.
      • In case of charter capital increase: It is necessary to supplement the minutes of the meeting confirming the approval of the capital increase and documents certifying the completion of capital contribution of members/shareholders.
      • In case of change of head office address: If the change of address leads to a change in the managing tax authority, the enterprise must complete the procedures at the tax authority first.

    Step 2: Submit the application and receive the result

    • Method of submission of documents: Enterprises submit legal documents through online form at the National Business Registration Portal via the following access links: https://dangkyquamang.dkkd.gov.vn/online/Default.aspx
    • Processing time and receiving results: Normally, the application will be processed within 03 (three) working days, counting from the time of submission of a valid application during office hours. The result will be an online version digitally signed by the state agency.
    • Payment of fees:
      • Cases of fee exemption: If the enterprise only carries out the procedure for updating the address due to the change of administrative boundaries (for example, merger, renaming of wards/districts without relocation), the enterprise is exempt from the fee for disclosure of enterprise registration contents.
      • In case of payment of fees: If the enterprise combines the updating of the administrative address with the change of any other contents (capital increase, name change, change of business line, etc.), the enterprise must pay the fee for disclosure of enterprise registration contents according to regulations of VND 100,000.

      • Ownership criteria (direct or indirect): Individuals who directly or indirectly own 25% or more of the charter capital, or own 25% or more of the total voting shares of the enterprise.
      • Criterion of control or dominance: An individual is also identified as a beneficial owner if the criterion of control or dominance is met. Specifically, this criterion is applied when the individual has the de facto control over the approval of at least one of the key decisions of the enterprise, including: the appointment, dismissal or dismissal of the majority or all members of the Board of Directors, Chairman of the Board of Directors, Chairman of the Board of Members; the appointment, dismissal or dismissal of the legal representative, director or general director; as well as deciding on issues related to amendments and supplements to the Charter, changes in the organizational structure of the company’s management, or issues of reorganization or dissolution of enterprises.
