Pursuant to the provisions of Clause 1, Article 30 of the Law on Enterprises 2020, enterprises are obliged to register with the Business Registration Authority when there is a change in the following contents:

Charter capital (for companies) or Investment capital (for private enterprises).

Cases of restriction on changing business registration
Notice of violation: The enterprise has received a notice from the Business Registration Office about the violation, in the case of revocation of the Business Registration Certificate, or has a Decision to revoke the Business Registration Certificate.
In the process of dissolution: The enterprise has approved the dissolution decision and is in the stage of carrying out dissolution procedures.
At the request of the authorities: When there is a written request from the Court, the judgment enforcement agency or the police agency, in order to serve related proceedings, investigation or judgment enforcement activities.
The process of carrying out procedures for changing business registration in Khuong Dinh Ward
Step 1: Prepare documents

An application for registration of changes to the contents of the ERC according to Form No. 12 issued together with Circular 68/2025/TT-BTC.

Case 2: Update address along with other changes

Written record of the Decision on change of business registration:
Decision of the Members’ Council (For limited liability companies with two or more members).

The list of beneficial owners is made according to Form No. 10 (Circular 68/2025/TT-BTC).
Other documents (Subject to change):
If the legal representative is changed (with capital transfer): Supplement the Transfer Contract (LC)/Record of liquidation of the LC.
If the address of the head office is changed to another managed tax authority: It is mandatory to have a written certification of the completion of tax finalization procedures at the old tax authority to transfer to the new tax authority.
If charter capital is increased: Supplement the Minutes of the meeting (of the Members’ Council/General Meeting of Shareholders) on the capital increase and documents certifying the completion of capital contribution.
Processing time: Normally, the dossier will be processed within 03 (three) working days from the time the Business Registration Authority receives the valid dossier during office hours.
Fees:
For case 1: Enterprises are exempt from the fee for announcing changes to enterprise registration contents.
For case 2: Enterprises must pay a publication fee as prescribed by law of 100,000 VND.
