    What changes of the company are required to register with the state?

    According to Article 30 of the Law on Enterprises 2020, enterprises are required to carry out procedures for changing business registration when changing the following contents:

    • Business name.
    • Head office address.
    • Charter capital (for companies) or Investment capital (for private enterprises).
    • Personal information (full name, address, legal documents) of:
      • Legal representatives (of limited liability companies and joint stock companies).
      • Sole proprietorships.
      • General partner (of the partnership).
      • Information of members of limited liability companies (including personal information or legal entity information).

    However, based on the content of Official Letter 4370/BTC-DNTN in 2025, the Ministry of Finance has provided detailed guidance on business registration for cases with adjustments to administrative boundaries. Accordingly, the issued Certificates (including the Certificate of Registration of Enterprises, Business Households, Cooperatives, and Certificates of Operation of Branches/Offices/Business Locations) remain valid and continue to be used normally. At the same time, the Business Registration Authority is not allowed to require or compel enterprises and business households to carry out procedures for registering changes in address information just for the reason of changing administrative boundaries. Enterprises actively choose to do this when there is a need, or combine to do so simultaneously when registering changes in other contents (such as changes in capital, industries, representatives, etc.) to optimize procedures.

    Are there any cases where enterprises are “banned” or not allowed to change their business registration?

    The law stipulates a number of cases in which enterprises will be restricted from carrying out this procedure. Specifically, the Business Registration Office will refuse to process the dossier if the enterprise falls into one of the following situations: Firstly, the enterprise is in the process of dissolution, that is, it has passed the dissolution decision and is in the process of carrying out that procedure. Secondly, the enterprise is being handled for violations, which is reflected in the fact that it has received a notice of violation or has issued an official decision on the revocation of the Enterprise Registration Certificate. Finally, businesses will not be able to change information while under lockdown at a written request from authorities such as the Court, Judgment Enforcement Agency, or the Public Security Agency, for the purpose of serving investigation, proceedings or judgment enforcement.

    Notes on tax finalization procedures when moving to another tax authority

    If an enterprise wishes to relocate its head office to an area under the management of another tax authority (different from the base tax), it must carry out the procedures for closing tax obligations at the former managing tax authority in order to be issued a notice of transfer to the tax authority. “Base tax” means a unit under the Tax Department of a province/city, performing tax administration in the assigned area. Currently, Hoang Liet Ward is under the management of Base Tax 13 (Hanoi City). If the enterprise wants to move its head office to Ba Dinh Ward, which is under the management of Base Tax 2.
