    Case 2: Update your address and change other contents

    This is a case where the enterprise combines the update of the address due to the merger at the same time as registering to change one or more other contents (for example, capital increase, name change, change of business line, change of representative, etc.). The dossier to be prepared includes:

    • Written record of the Decision on change of business registration contents:
      • Owner’s Decision (For Single-Member Limited Liability Companies);
      • Decision of the Members’ Council (For limited liability companies with two or more members);
      • Decision of the General Meeting of Shareholders or the Board of Directors (for Joint Stock Companies, depending on its competence).
    • Application for registration of change/Notice of change of content (Form No. 12 issued together with Circular 68/2025/TT-BTC).
    • List of beneficiary owners (Form No. 10 issued together with Circular 68/2025/TT-BTC).
    • Other documents depending on the content of the change:
      • If the legal representative is changed (with capital transfer): Supplement the Transfer Contract (LC)/Record of liquidation of the LC.
      • If the address of the head office is changed to another managed tax authority: It is mandatory to have a written certification of the completion of tax finalization procedures at the old tax authority to transfer to the new tax authority.
      • If charter capital is increased: Supplement the minutes of the meeting on the capital increase (for limited liability companies with two or more members) and papers certifying the completion of capital contribution.

    Notes on declaring beneficial owner information

    According to the provisions of Article 17, Decree 168/2025/ND-CP, enterprises are obliged to declare information about the “Beneficial Owner” when establishing a new business registration or registering changes to the content of the Business Registration Form. A business beneficial owner is defined as an individual who meets one of the following criteria:

    • An individual directly or indirectly owns 25% or more of the charter capital or owns 25% or more of the total voting shares of the enterprise according to Clause 2, Article 17.
    • Individuals have de facto control over the adoption of at least one of the following material decisions of the enterprise:
      • Appointing, dismissing or dismissing the majority or all members of the Board of Directors, the Chairman of the Board of Directors, the Chairman of the Board of Members;
      • Appointment, dismissal or dismissal of the legal representative, director or general director;
      • Decide on the amendment and supplementation of the company’s charter;
      • Decide on issues on changes in organizational structure and management;
      • Decide on issues of reorganization or dissolution of enterprises.

    About the method of submission

    Currently, except for some special cases, the dossier of change of business registration is required to be submitted electronically.

    Time limit for processing dossiers

    Normally, the Business Registration Authority will process the dossier within 03 (three) working days from the time of receipt of a valid dossier during office hours.

    Currently, in Hanoi, the issuance of an electronic version of the Business Registration Certificate is being implemented. Therefore, the result received by the business will be a file (PDF file) with the digital signature of the Business Registration Authority, which has the same legal validity as the paper version instead of the hard paper version as before.

    Fees

    • For case 1: The enterprise is exempt from the fee for announcing changes to the content of the Business Registration.
    • For case 2: The enterprise must pay a fee of 100,000 VND for disclosure of the contents of the business registration as prescribed.
