Adjust Investment Registration Certificate in An Dong Ward, Ho Chi Minh city
The rearrangement of administrative units in Ho Chi Minh City and the establishment of An Dong Ward has created a problem for business investors in the area: it is a lack of synchronization between the address information recorded on the Investment Registration Certificate and the actual administrative name. However, whether the investor has to carry out the procedures for adjusting the Investment Registration Certificate in An Dong Ward after the merger of administrative boundaries. Information after the merger of administrative boundaries in An Dong Ward
According to Resolution 1685/NQ-UBTVQH15, An Dong Ward was established based on the following criteria:
“Arrange the entire natural area and population size of Ward 5, Ward 7 and Ward 9 (District 5) into a new ward called An Dong Ward.”
Ward 5 can be considered the most modern and dynamic commercial face of District 5, a destination that attracts young people and shoppers from all over the city. Nguyen Trai fashion street is the lifeblood of the city, hundreds of clothing, shoes, and accessories stores from domestic and foreign brands are located here. Ward 5 is also located at the main intersection of Nguyen Trai – Chau Van Liem, one of the important intersections and the focus of trade activities in Cho Lon.
Ward 7 includes masterpieces of religious and cultural architecture, the most typical of which is Ba Thien Hau Pagoda (Tue Thanh Assembly Hall) – a national-level architectural and artistic relic and one of the most ancient, sacred and famous pagodas in the city.
Ward 9 is famous for the formation of roads specializing in trading in a number of specific items. Typically, the section of Tran Phu street is known as the “painting street”, where many shops selling wall paintings, decorations and framing services are concentrated.
The merger Ward 5, Ward 7 and Ward 9 of District 5 will produce the following benefits
Creating a unified Cho Lon destination: Integrating the modern commercial axis (Ward 5), cultural heritage space (Ward 7) and specialized neighborhoods (Ward 9) into a multi-experience tourism and trade product, managed synchronously.
Allow easy urban planning: Easily regulate commercial development in tandem with the preservation and promotion of the specific architectural and cultural heritage values of the area.
Cases in which the Investment Registration Certificate must be adjusted in An Dong Ward
According to the provisions of Article 41 of the Law on Investment 2020, any adjustment of the project that leads to changes in the contents recorded on the Investment Registration Certificate must be subject to adjustment procedures. These adjustments can be classified into the following main groups:
Identification information of investment projects:
Name of the investment project and project code.
Investor Information.
Scale and scope of the project:
Implementation location, land area to be used.
Objectives and scale of the project.
Financial and time factors:
Total investment capital (including contributed capital and mobilized capital).
Duration of operation and progress of project implementation.
Specific terms and conditions (if any):
Forms and grounds for application of investment incentives and supports.
Binding conditions for investors.
However, according to Official Letter 4370/BTC-DNTN in 2025, guiding business registration in case there is a change in administrative boundaries.
“Enterprises, business households, cooperatives, cooperative unions, and cooperative groups continue to use the issued Enterprise Registration Certificate, Business Household Registration Certificate, Cooperative Registration Certificate, Cooperative Group Registration Certificate, Certificate of Operation Registration of Branches/Representative Offices/Business Locations.
…2. Business registration agencies may not request enterprises, business households, cooperatives, cooperative unions and cooperative groups to register changes in address information due to changes in administrative boundaries. Enterprises, business households, cooperatives, cooperative unions and cooperative groups shall update information on addresses due to changes in administrative boundaries on enterprise registration Certificate, business household registration Certificate, cooperative registration Certificate, cooperative group registration Certificate, etc Certificate of registration of operation of branches/representative offices/business locations when there is a need or at the same time when registering changes, notifying changes in other contents in the registration of enterprises, business households, cooperatives, unions of cooperatives, cooperative groups.”
Therefore, the adjustment of the Investment Registration Certificate in this case is not mandatory. Enterprises have the right to take the initiative to do so when there is a need, or combine in other times of registration to change content in the future.
Dossier to adjust Investment Registration Certificate in An Dong Ward
A written request for adjustment of the Investment Registration Certificate;
Report on the implementation of the investment project up to the time of adjustment;
The investor’s decision on the adjustment of the investment project for the institutional investor or the equivalent document for the individual investor;
Current investment registration certificate;
The company’s financial statements are audited in the preceding year at the time of adjustment of the Investment Registration Certificate;
Proposal of the investment project (if using land), including: investor, objectives, scale, investment capital, capital mobilization plan, location, duration, progress, information on the current status of land, labor demand, investment incentives, socio-economic efficiency, preliminary assessment of environmental impacts;
In case the investment project does not request the State to allocate or lease land or permit the change of land use purpose, it shall submit copies of papers on land use rights or other documents determining the right to use the location for the implementation of the investment project;
Explanation of technologies used in investment projects for projects subject to appraisal and consultation on technology in accordance with the law on technology transfer;
BCC contracts for investment projects in the form of BCC contracts;
Other documents related to the investment project, requirements on conditions and capacity of the investor as prescribed by law (if any).
In addition, depending on other cases, additional dossiers and documents will be required as follows:
In case of change of investor information: The company needs to provide documents on the legal status of the investor related to the change: Certificate of operation of the parent company for institutional investors or Passport of investors if the investor is an individual. These documents all require notarized translation and consular legalization.
In case of change of the representative managing the investor’s contributed capital: A valid certified copy: Passport, confirmation of residence/temporary residence card of the new representative managing the contributed capital.
In case of change of the location of the investment project, the head office of the company, the land area used: The land lease contract, the lease of the office for registration of the location of the project; Land use right certificate of the lessor or investor or other alternative legal documents; In case of leasing land or renting offices of other enterprises, it is necessary to provide an enterprise registration certificate of the lessor with the function of real estate business.
In case of change of charter capital or investment capital of the project: The enterprise needs to provide documents proving the financial capacity of the investor, including one of the following documents: Financial statements for the last 2 years; Commitment to financial support of the parent company/financial institution; Guarantee the financial capacity of the investor; Other documents proving the investor’s financial capacity;
The competence to receive dossiers of adjustment of investment registration Certificate in Ho Chi Minh City is delimited according to the project location. Specifically, projects implemented outside industrial parks and export processing zones are under the jurisdiction of the Department of Finance of Ho Chi Minh City; projects implemented within these zones are under the jurisdiction of the City Export Processing and Industrial Zones Management Board (HEPZA).
Investors can choose to submit documents directly at the agencies mentioned above, or carry out online procedures. According to Article 39 of Decree 31/2021/ND-CP, the online submission of dossiers is conducted through the National Investment Information System, applicable to projects that are not subject to investment policy approval. A valid electronic dossier has the same legal validity as a paper dossier.
Regarding the time limit for processing dossiers
After receiving the dossier, the investment registration agency has a normal processing time limit of 07 working days. However, for cases of technical adjustments, including: changing the name of the project/investor, adjusting the schedule/duration of operation, and especially the update of the location due to the rearrangement of administrative units, the processing time is shortened to 03 working days.
Results of dossier processing
At the end of the verification period, there will be two cases:
In case the dossier is invalid: The investment registration agency will issue a written notice, clearly stating the contents that need to be amended and supplemented for the investor to complete.
In case the dossier is valid: The investment registration authority will issue an adjusted Investment Registration Certificate to the investor to record the changed contents.
