Set up a single-member limited liability company in Vietnam

According to Article 24 of the Decree No.01/2021/ND-CP on Enterprise Registration, a dossier for setting up a single-member limited liability company includes:

· An application form for enterprise registration (form in Appendix I-2 of the Circular No.01/2021/TT-BKHDT);

· The company’s charter;

· Copies of the following documents:

o Legal documents of the enterprise’s legal representative (these documents are prescribed in Article 11 of this Decree);

o Legal documents of the company’s owner that is an individual; Legal documents of the company’s owner that is an organization (except for the State); Legal documents of the authorized representative and letter of appointment of authorized representative. If the company’s owner is a foreign organization, copies of legal documents of that organization must be legalized;

o Investment registration certificate if the enterprise is founded by a foreign investor or foreign-invested business entity under the Law on Investment and its guiding documents.

· A power of attorney in case customers authorize another individual or enterprise to apply.

After preparing the aforementioned documents, a client declares information on National Business Registration Portal or submits a hard copy to Business Registration Office – Department of Planning and Investment to establish the one-member limited company. The business registration agency will reply within 03 working days and issue a business registration certificate if the dossier is valid. In case the application is invalid, the agency will reply in writing and specify the reason.

Within 30 days after being granted an Business Registration Certificate, an enterprise must publish the enterprise registration content on the National Business Registration Portal by Article 27 of the Law on Enterprises and pay fees for publishing business registration information. Besides, businesses must carry out the procedures with the tax authorities, make a seal, sign, etc.
