    Information about the new administrative boundaries of Linh Nam ward

    According to Resolution No. 1656/NQ-UBTVQH15 dated 16/06/2025 of the Standing Committee of the National Assembly on the arrangement of commune-level administrative units in Hanoi city, Linh Nam Ward was established on the basis of merging the following wards:

    • Linh Nam Ward;
    • Thanh Tri Ward;
    • Tran Phu Ward;
    • Part of the natural area of Yen So Ward;
    • The rest of Thanh Luong Ward after being arranged into Vinh Tuy Ward and Hong Ha Ward.

    The merger of these five areas into Linh Nam Ward has solved many outstanding problems. The biggest benefit is that there is a unified management hub, instead of having five management hubs, the entire area is now managed by a single new Lingnan Ward government. In addition, the merger also helps to streamline the apparatus and save the state budget. No longer having to maintain a cumbersome administrative apparatus, the merger helps streamline a large amount of payroll, leadership and operating costs of the headquarters. All administrative procedures, paperwork and business registration are handled at a management agency.     Procedures to change business registration in Vietnam

    Step 1: Prepare documents

    A set of dossiers for registration of business registration changes includes two groups of documents: a list of basic documents and additional documents depending on the content of the change.

    • Regarding the list of basic documents, enterprises need to prepare a written decision of the competent authority (depending on the type: Decision of the owner, the Board of members, or the General Meeting of Shareholders/Board of Directors). Attached are mandatory declaration forms, including the Application/Notice of Change of Business Registration Contents (Form No. 12) and the List of Beneficial Owners (Form No. 10), both of which are issued under Circular 68/2025/TT-BTC.
    • Regarding additional documents, depending on the specific content that the enterprise registers for change, the dossier will have to be attached with corresponding legal documents. For example, the increase in charter capital requires the minutes of the meeting on the capital increase and documents certifying the completion of the capital contribution. If the change of the legal representative arises from the transfer activity, the dossier needs to be supplemented with the transfer contract or the relevant liquidation record.

    Step 2: Submit the application and process the application

    Receiving agency: Business Registration and Corporate Finance Department – Hanoi Department of Finance.

    Submission method: Submit online via the National Business Registration Portal (dangkykinhdoanh.gov.vn).

    Processing time: 03 working days for procedures for changing business registration from the date the Business Registration and Corporate Finance Department receives the dossier during office hours.

    About Beneficial Owners

    One of the mandatory legal obligations when an enterprise changes its business registration contents is to declare information about the beneficial owner according to Article 17, Decree 168/2025/ND-CP, for the purpose of determining the individual(s) who actually hold the final ownership or controlling right over the legal entity. Specifically, an individual is identified as a beneficial owner if one of two conditions is satisfied:

    • That individual owns (directly or indirectly through another organization) from 25% of the charter capital or 25% of the total voting shares of the enterprise.
    • That individual holds the de facto control over important decisions of the business, such as the right to appoint/dismiss a majority of senior leaders (BOD, Director), the right to amend the charter, or the right to dispose of the restructuring or dissolution of the company.

    It is not mandatory to change business registration when merging administrative boundaries

    Official Letter 4370/BTC-DNTN in 2025 has provided detailed guidance, which clearly states the following two main ideas:

    • Registration certificates (enterprises, business households, cooperatives, branches, etc.) issued before the time of merger continue to be valid.
    • The business registration authority is strictly prohibited from requesting or compelling organizations and enterprises to register changes in address information due to the merger.

    Therefore, updating address information in Linh Nam Ward is not a mandatory legal obligation. Businesses can completely choose the time to update when needed, or combine it in other content changes registration in the future.
