    Lang Ward in Hanoi after administrative merger

    In accordance with Resolution No. 1656/NQ-UBTVQH15 dated June 16, 2025, of the Standing Committee of the National Assembly on the reorganization of commune-level administrative units, Hanoi officially established a new administrative unit called Lang Ward. This is the result of a multi-layered administrative boundary adjustment process aimed at optimizing natural area and population size in the urban area.

    The structure of Lang Ward was established by merging the entire area and population of Lang Thuong Ward, combined with the remaining areas of Lang Ha and Ngoc Khanh Wards after the separation steps according to the planning. Specifically:

    • Lang Ha Ward has transferred a portion of its area to establish Giang Vo Ward (according to Clause 5) and another portion to the new Dong Da Ward (according to Clause 9).
    • Ngoc Khanh Ward has also had its boundaries adjusted to contribute to the formation of Ngoc Ha Ward (according to Clause 4) and Giang Vo Ward (according to Clause 5). The entire remaining area and population of these two units, after completing the aforementioned adjustments, will be merged uniformly into Lang Ward.

    Adjustment of project implementation address to reflect new administrative unit names

    The changes in administrative boundaries according to Resolution No. 1656/NQ-UBTVQH15 not only affect population management but also create an urgent need for legal documentation for investment projects. Based on Clause 2, Article 33 of the Investment Law 2025, investors are obligated to carry out project adjustment procedures when there are changes to the contents recorded on the IRC, including the “project implementation location”.

    From July 1st, 2025, there has been a significant change in the administrative unit’s name with the establishment of Lang Ward from Lang Thuong Ward and parts of Lang Ha and Ngoc Khanh Wards. Therefore, updating the address from the old ward name to “Lang Ward” is a mandatory requirement to ensure consistency within the national management system. Furthermore, if the adjustment changes the location, the investor must obtain approval for the adjustment of the investment policy before submitting the adjusted IRC application. (Clause b, Point 3, Article 33 of the Investment Law 2025).

    According to the Investment Law 2025 and Decree 239/2025/ND-CP, specific steps are stipulated to ensure transparency of investment information and reduce processing time for dossiers.

    Conditions for carrying out the procedure to amend investment certificate.

    Enterprises are only allowed to amend their Investment Certificates when they meet the following conditions:

    • The investment registration certificate is still valid, and the project has not been revoked or terminated.
    • The investor has fulfilled their capital contribution obligations, financial obligations, and periodic investment reporting requirements.
    • The adjustments comply with the planning and specialized laws (Article 36 of Decree 31/2021/ND-CP, amended by Clause 12, Article 1 of Decree 239/2025/ND-CP).
    • The adjustment dossier is valid.

    IRC amendment dossiers

    • Request for adjustment of investment project (Form according to Circular 03/2021/TT-BKHĐT, amended and supplemented by Circular 25/2023/TT-BKHĐT).
    • Report on project implementation status up to the time of adjustment (Clause 27, Article 1, Decree 239/2025/NĐ-CP).
    • Investor’s decision on project adjustment (applicable to organizations).
    • Original or certified copy of the current Investment Registration Certificate (Article 47, Decree 31/2021/NĐ-CP).
    • Document explaining the adjustment content: clearly stating the reasons and scope of changes (location, progress).
    • Enterprise Registration Certificate (ERC) if the change affects legal entity information.
    • Investor’s legal documents: Individuals: Citizen Identification Card/Passport; Organizations: Certificate of Establishment Registration.
    • Other documents (if any): BCC contract, land title, legally valid power of attorney.

    To adjust the Investment Registration Certificate (IRC) in Lang Ward, Hanoi when the project is subject to investment policy approval, the following two-step process must be followed: (1) Apply for investment policy adjustment approval at the competent authority (Hanoi People’s Committee/Management Board) and (2) Submit the IRC adjustment application after receiving the investment policy approval decision.

    Decision-making authority:

    • Provincial People’s Committee: for investment projects within the local area;
    • Prime Minister or National Assembly: for large-scale projects with national impact.

    (1) Apply for investment policy adjustment approval at the competent authority

    The dossiers for investment approval includes:

    • A written request to implement the project;
    • Investor’s legal documents;
    • Detailed investment project proposal;
    • Documents proving financial capacity;
    • Proposal for land use requirements;
    • Technology explanation (if any).

    Step 1: The investor or competent state agency submits one set of dossiers, along with an electronic copy, to the Department of Finance.

    • For investment projects involving the construction and operation of infrastructure in industrial parks, export processing zones, and concentrated digital technology zones, investors or competent state agencies shall submit dossiers to the Management Board of the industrial park, export processing zone, high-tech zone, or economic zone, or to the Department of Finance in cases where the Management Board of the industrial park, export processing zone, high-tech zone, or economic zone has not yet been established.

    Step 2: Within 2 days of receiving a valid application, the Department of Finance will send the application for appraisal to relevant departments, the People’s Committee of the commune where the project is planned to be implemented, and other relevant local agencies regarding matters within the scope of their respective state management responsibilities.

    • For projects by foreign investors and economic organizations with foreign investment capital implemented in islands, border communes, wards, and towns, and coastal communes, wards, and towns; and other areas affecting national defense and security, the Department of Finance shall seek opinions from the Provincial Military Command and the Provincial Police Department regarding the fulfillment of conditions for ensuring national defense and security.

    Step 3: Within 7 days of receiving the proposal from the Department of Finance, the consulted agency shall provide its assessment of the content within its scope of state management and send it to the Investment Registration Authority.

    • In cases where a project is subject to preliminary environmental impact assessment as stipulated by environmental protection laws, the provincial-level environmental protection agency shall fulfill the responsibilities specified in this clause regarding the preliminary environmental impact assessment.

    Step 4: Within 14 days of receiving a valid application, the Department of Finance prepares an appraisal report and submits it to the Provincial People’s Committee

    Step 5: Within 3 days of receiving the application and appraisal report, the Provincial People’s Committee reviews and approves the investment plan.

    (2) Submitting the dossier to amend the Investment Registration Certificate

    Based on Decree 19/2026/ND-CP, effective from January 14, 2026, the procedure for adjusting the IRC in Lang Ward, Hanoi is as follows:

    Step 1: After receiving the decision approving the adjustment of the investment policy, the investor submits the application to the investment registration authority.

    Step 2: Issuance of the Amended Investment Registration Certificate

    Article 47 of Decree 31/2021/ND-CP, as amended by Clause 16, Article 1 of Decree 239/2025/ND-CP, stipulates that the Investment Registration Authority shall issue an amended IRC according to the approved content.

    Step 3: The time limit for issuing the Amended Investment Registration Certificate, as stipulated in Article 2 of Decree 239/2025/ND-CP, is within 5 working days from the date of the decision approving the adjustment of the investment policy.

    Dossier submission method

    Direct submission:

      • At the Department of Finance or the Hanoi Industrial Park/Economic Zone Management Board.
      • Applicable to projects with significant changes requiring submission of original certified documents.

    Online submission:

      • Via the National Portal on Foreign Investment at fdi.gov.vn.
      • Electronic dossiers require a valid digital signature from the investor or authorized representative.
      • After approval, the original dossiers are submitted for verification and receipt of the amended IRC.

    Regulations on deadlines and notification obligations for administrative boundary changes

    Based on Article 33 of the Investment Law 2025 and Decree 122/2021/ND-CP on administrative penalties in the field of planning and investment, investors are obligated to carry out the procedure for adjusting the IRC within 30 days from the date of any change in the investment project content. The establishment of Lang Ward officially takes effect from the date stipulated in the Resolution; therefore, this is considered the starting point for calculating the deadline for fulfilling the notification obligation.

    If enterprises fail to update their addresses within the aforementioned deadline, in addition to facing administrative penalties, they will also encounter difficulties in exercising their rights related to investment incentives, VAT refunds, or bank credit transactions that require current legal information.

    Administrative sanctions for non-compliance with Investment Registration Certificate adjustment regulations

    If an enterprise fails to amend its IRC when mandatory changes occur, the management agency may impose administrative penalties and apply remedial measures.

      • Fines: from VND 70,000,000 to VND 100,000,000;
      • Remedial measures: the enterprise will be required to carry out adjustment procedures or temporarily suspend project operations;
      • In cases of serious violations, the competent authority may consider revoking the Investment Registration Certificate.
