    Cases of mandatory adjustment of the Investment registration certificate in Chanh Hung Ward

    According to the provisions of Article 41 of the Law on Investment 2020, investors are obliged to carry out procedures for adjusting the Investment Registration Certificate when the adjustment of the project leads to changes in any recorded contents. Specific adjustment cases include:

However, is it mandatory to adjust the Investment Registration Certificate immediately after the merger of administrative boundaries? In the spirit of Official Letter 4370/BKHDT-DKKD, the guidance on business registration has clearly stated two principles:

    • The legality of old papers remains the same: Certificate of registration of enterprises, business households, and cooperatives (including branches and representative offices) issued before the time of merger continue to be legally valid for use in all transactions.
    • Not required to update: The business registration authority is not required or obliged to carry out the procedure for changing address information individually and instantly. Businesses are allowed to actively update new address information at the most convenient time.

    Preparation of dossiers to adjust investment registration certificate in Chanh Hung Ward

    According to Clause 16, Article 1 of Decree 239/2025/ND-CP amending Decree 31/2021/ND-CP guiding the Law on Investment, a dossier to carry out procedures for adjusting the Investment registration certificate includes the following documents:

    • Written request for adjustment of the investment project (Form A.I.1 according to Circular 25/2023/TT-BKHDT);
    • Report on the implementation of the investment project up to the time of adjustment;

    • Copy of identity card/ID card/passport (for individual investors) or certificate of establishment/equivalent documents (for institutional investors);
    • Proposal of the investment project, clearly stating the contents of adjustment (objectives, scale, investment capital, location, duration, schedule, labor, investment incentives);
    • Financial statements of the last 02 years or commitment to financial support from the parent company/financial institution;
    • Documents related to the content of the adjustment (e.g. land lease contract if the project location is changed).
