Established company seals under Vietnamese law

During the operation process, the company seal is an important component, often used to stamp internal enterprise documents, economic contracts, etc. Therefore, enterprises need to comply with legal regulations on seals. After that, Viet An Law would like to introduce established company seals under Vietnamese law.

Legal basis

• Law on Enterprises 2020;
• Decree 99/2016/ND-CP regulates the management and usage of seals;
• Decree 130/2018/ND-CP guidelines for the Law on E-Transactions of digital signatures and digital signature authentication.

What is the legal seal of an enterprise?

Currently, Vietnamese law does not have specific regulations to define the legal seal of an enterprise. However, it can be simply understood that enterprises often use their legal seal to stamp documents, and writtens,… and have the value of confirming the legal rights and obligations recognized by law.

Overview of established company seals under Vietnamese law

When using legal seals, enterprises need to ensure compliance with the provisions of Article 43 of the Law on Enterprises 2020, specifically as follows:

• Seals include seals made at seal engraving facilities or seals in the form of digital signatures following the law on electronic transactions.
• The enterprise decides the type of seal, quantity, form, and content of the seal of the enterprise, branches, representative offices, and other units of the enterprise.

Enterprises can choose one of the following shapes: circle, square, triangle, rectangle, trapezoid, rhombus,… Legal seals can be red, blue, purple,… In addition to the enterprise’s name, enterprises can add other contents, such as code, slogan, address,… of the enterprise.

The management and storage of seals is carried out under the company charter or regulations issued by the enterprise, branches, representative offices, or other units of the enterprise about the seal. Enterprises use seals in transactions according to the provisions of law.

The seal is made at the seal engraving facility

After being granted the Enterprise Registration Certificate, the enterprise will self-engrave its legal seal at the seal engraving facility.

The seal in the form of a digital signature

This is one of the new regulations stipulated in the Law on Enterprises 2020. According to the provisions of Clause 6, Article 3 of Decree 130/2018/ND-CP, a digital signature is defined as a form of an electronic signature created by transforming a data message using an asymmetric cryptographic system, whereby the original owner of the data message and the signer’s public key can be accurately identified.

It can be simply understood that a digital signature is a form of encrypted electronic signature used to replace signatures on various types of digital documents and documents performed in electronic transactions over the Internet.

Who can be the organization providing digital signatures in Vietnam?

According to the provisions of Article 9 of Decree 130/2018/ND-CP, enterprises can only use digital signatures provided by one of the following organizations:

• National certification organizations;
• Specialized certification organizations of the Government;
• Public certification organizations;
• Specialized certification organizations of agencies and organizations issued with certificates of eligibility for special-use digital signature security as prescribed in Article 40 of Decree 130/2018/ND-CP.

In what cases should an enterprise’s legal seal be used?

Enterprises have the full right to decide on the use of their seal according to the content recorded in the company charter. The use of seals must comply with the provisions of law and be stamped to documents and written following the provisions of law, such as contracts, transactions, notifications, decisions, invoices, and records,…

Do not stamp any documents without the signature of the owner of the enterprise, legal representative, or authorized person in writing. All documents and records with a stamp but do not have a signature of the above persons, have no legal value but are only of reference value.

Do enterprises need to notify seal samples?

Currently, the Law on Enterprises 2020 has canceled the regulation on notification of seal samples before enterprises put them into use. Therefore, enterprises can freely use their legal seals without having to carry out procedures for notifying seal samples to competent authorities.

How should an enterprise change its seal model or lose its seal?

In case an enterprise needs to change the seal model or loses its legal seal, the enterprise can make or order a new seal at the seal engraving facilities without having to carry out notification procedures for seal samples to the competent authority where the enterprise is headquartered for public posting on the Enterprise Registration National Portal.

Pay attention to the seals of representative offices and branches of foreign legal entities

Foreign organizations are allowed to bring seals from abroad into Vietnam for use. First, these organizations need to comply with the country’s seal regulations. It is necessary to meet the conditions when using seals in Vietnam for representative offices and branches of foreign legal entities: the seal sample brought in must not use images, symbols, or names of the Socialist Republic of Vienam and Vietnamese agencies and organizations or violate the historical, cultural, moral traditions and customs of the Vietnamese people.

Unlike using the seal of Vietnamese legal entities, before using a seal, representative offices and branches of foreign legal entities must register the seal sample at the competent agency as prescribed in Article 12 of Decree 99/2016/ND-CP and dossier of seal sample registration as prescribed in Clause 10, Article 13 of Decree 99/2016/ND-CP.
