Change business registration in Vinh Tuy Ward

Implementing the policy of restructuring and arranging administrative units of Hanoi City, the new Vinh Tuy ward has been built based on the arrangement of part of the natural area and population size of Mai Dong, Thanh Luong, Vinh Hung and Vinh Tuy wards. Is it mandatory to change the business registration in Vinh Tuy Ward after the merger of administrative boundaries?

According to Official Letter 4370/BTC-DNTN in 2025, guiding business registration in case of change of administrative boundaries.

“Enterprises, business households, cooperatives, cooperative unions, and cooperative groups continue to use the issued Enterprise Registration Certificates, Business Household Registration Certificates, Cooperative Registration Certificates, Cooperative Group Registration Certificates, Certificates of Operation Registration of Branches/Representative Offices/Business Locations.

2. Business registration agencies may not request enterprises, business households, cooperatives, cooperative unions and cooperative groups to register changes in address information due to changes in administrative boundaries. Enterprises, business households, cooperatives, cooperative unions and cooperative groups shall update information on addresses due to changes in administrative boundaries on enterprise registration certificates, business household registration certificates, cooperative registration certificates, cooperative group registration certificates, etc Certificate of registration of operation of branches/representative offices/business locations when there is a need or at the same time when registering changes, notifying changes in other contents in the registration of enterprises, business households, cooperatives, unions of cooperatives, cooperative groups.”

Therefore, updating the information on the business registration certificate in this case is not mandatory. Enterprises have the right to take the initiative to do so when there is a need, or combine in other times of registration to change content in the future.

Process to change business registration in Vinh Tuy Ward

Procedures to change business registration in Vietnam

Step 1: Prepare documents

  • An application for registration of changes in the contents of the Enterprise Registration Certificate/Notice of change of enterprise registration contents according to form No. 12 of Circular 68/2025/TT-BTC on forms used in enterprise registration and business household registration;
  • Power of attorney (in case of submission of a dossier of change of business registration through an authorized unit).

In case the enterprise authorizes Viet An Law to carry out the procedures for changing the business registration, it is necessary to provide information on the new address after the merger of the company, of the company’s members for a limited liability company with two or more members and of the company’s legal representative. After that, Viet An Law will prepare a dossier according to the above list of documents and proceed to submit the dossier.

In case the enterprise wants to change with other business registration contents such as business lines and charter capital, the legal representative will need to supplement the following documents:

  • Decision of the owner (for a single-member limited liability company), decision of the members’ council (for a limited liability company with two or more members), decision of the General Meeting of Shareholders/Board of Directors (for a joint-stock company);
  • List of beneficiary owners according to form No. 10 of Circular 68/2025/TT-BTC on forms used in enterprise registration and business household registration;
  • Depending on the content of the change, it will be necessary to add additional documents as follows:
    • Change of legal representative: Supplement the transfer contract/liquidation record of the LC (if transfer activities arise);
    • Changing the address of the company’s head office other than the managing tax authority: If the enterprise changes to a different address from the managing tax authority, it is necessary to carry out tax finalization procedures at the old base tax to switch to the new base tax;
    • Charter capital increase: Minutes of the meeting on the capital increase, papers certifying the completion of capital contribution;….

What is a Beneficial Owner?

Enterprises will need to add information about the beneficial owners when establishing a new company or changing the content of business registration. According to Article 17, Decree 168/2025/ND-CP on enterprise registration on the criteria for determining the beneficial owner of the enterprise as follows:

“1. The beneficial owner of an enterprise with legal status (hereinafter referred to as the beneficial owner of the enterprise) is an individual who satisfies one of the following criteria:

a) Individuals who directly or indirectly own 25% of the charter capital or 25% or more of the total voting shares of the enterprise;

b) Individuals have the right to govern the approval of at least one of the following matters: Appointment, dismissal or dismissal of the majority or all members of the Board of Directors, the Chairman of the Board of Directors, the Chairman of the Board of Members; the legal representative, director or general director of the enterprise; amending and supplementing the charter of the enterprise; changes in the organizational structure of the company’s management; reorganize and dissolve the company.

2. An individual who owns an indirect property as prescribed at Point a, Clause 1 of this Article is an individual who owns 25% or more of the charter capital or 25% or more of the total voting shares of the enterprise through another organization.”

Step 2: Submit documents and fees

Dossiers of change of business registration are currently only submitted through the public service portal on enterprise registration (except for some exceptions) via the following link: https://dangkyquamang.dkkd.gov.vn/online/Forms/APP/Agenda.aspx?h=cb64. Enterprises must pay the following fees:

  • For the case of only changing the address due to the merger of administrative boundaries: Exemption from the fee for announcing changes in enterprise registration contents;
  • For the case of changing other business registration contents: The fee for announcing changes to business registration contents is 100,000 VND.

Step 3: Process the application and receive the result

Usually the application will take about 3 working days from the date of receipt of the application to be processed. If only the address is changed due to a change in administrative boundaries. Enterprises will not have to pay a fee for announcing changes to enterprise registration contents. Currently, Hanoi is implementing the issuance of electronic business registration forms with digital signatures of the state, so businesses will not be issued hard paper copies as before.
