    Cases restricted from carrying out change procedures

    However, the law also stipulates cases in which enterprises will be restricted and not allowed to carry out procedures for registering changes to business registration contents. Specifically, the Business Registration Authority will refuse to process the dossier if the enterprise falls into one of the following conditions:

    • The enterprise is in the process of dissolution: From the time the enterprise has approved the dissolution decision and is in the stage of carrying out this procedure, any changes in the business registration content (other than the contents serving the dissolution) are not allowed.
    • Enterprises are being handled for violations: In case the enterprise has received an official notice from the Business Registration Office of the violation, or has a Decision to revoke the Enterprise Registration Certificate, the enterprise will not be allowed to make changes.
    • Enterprises are blocked upon request: The registration of changes will be suspended or not carried out when the Business Registration Authority receives a written request from competent state agencies such as Courts, Judgment Enforcement Agencies, or Police Agencies, in order to serve related procedural activities, investigation or enforcement of judgments.

    Cases restricted from carrying out change procedures

    Regarding the concerns of businesses in Nghia Do Ward about whether it is mandatory to change business registration after the merger, Official Letter 4370/BTC-DNTN in 2025 has detailed guidance on this issue. The content of Official Letter 4370/BTC-DNTN clearly stipulates the following information:

    • Regarding the legal validity of the current Certificate: All types of Certificates that have been issued (including IRCs, Certificates of Registration of Business Households, Cooperatives, and Certificates of Operation of Branches/ROs/Business Locations) remain legally valid and continue to be used normally.
    • Regarding the responsibilities of business registration agencies: It is strictly forbidden for business registration agencies not to request or compel enterprises, business households, cooperatives, etc. must carry out the procedures for registering the change of address information only for the reason of change of administrative boundaries.
    • Regarding the right to initiative of enterprises: The law gives all initiative rights to enterprises. Enterprises can choose to update new address information when there is a need or can do so at the same time when registering to change other contents in the future (such as changes in capital, industry, representative, etc.).

    Dossier to change business registration in Nghia Do ward

    According to Article 17, Decree 168/2025/ND-CP, this is a mandatory obligation when changing the business registration system. A beneficial owner is an individual who meets one of two criteria:

    • Ownership: Directly or indirectly holding 25% of charter capital (or 25% of voting shares).
    • Control: Has the de facto right to appoint/dismiss the Board of Directors (BOD, Director, etc.), amend the Charter, or decide to dissolve the company.

    Submission and processing of dossiers to change business registration in Nghia Do Ward

    About the method of submission

    Currently, except for some special cases, the dossier of change of business registration is required to be submitted electronically.

    Time limit for processing dossiers

    Normally, the Business Registration Authority will process the dossier within 03 (three) working days from the time of receipt of a valid dossier during office hours.

    Currently, in Hanoi, the issuance of an electronic version of the Enterprise Registration Certificate is being implemented. Therefore, the result received by the business will be a file (PDF file) with the digital signature of the Business Registration Authority, which has the same legal validity as the paper version instead of the hard paper version as before.
