Guidance on procedures for changing business registration

In case of only change of administrative boundaries

According to Official Letter 4370/BTC-DNTN in 2025, guiding business registration in case of change of administrative boundaries.

“Enterprises, business households, cooperatives, cooperative unions, and cooperative groups continue to use the issued Enterprise Registration Certificates, Business Household Registration Certificates, Cooperative Registration Certificates, Cooperative Group Registration Certificates, Certificates of Operation Registration of Branches/Representative Offices/Business Locations.

2. Business registration agencies may not request enterprises, business households, cooperatives, cooperative unions and cooperative groups to register changes in address information due to changes in administrative boundaries. Enterprises, business households, cooperatives, cooperative unions and cooperative groups shall update information on addresses due to changes in administrative boundaries on enterprise registration certificates, business household registration certificates, cooperative registration certificates, cooperative group registration certificates, etc Certificate of registration of operation of branches/representative offices/business locations when there is a need or at the same time when registering changes, notifying changes in other contents in the registration of enterprises, business households, cooperatives, unions of cooperatives, cooperative groups.”

Therefore, updating the information on the business registration certificate in this case is not mandatory. Enterprises have the right to take the initiative to do so when there is a need, or combine in other times of registration to change content in the future. However, if the enterprise wants to change, it is necessary to prepare the following documents:

  • An application for registration of changes in the contents of the Enterprise Registration Certificate/Notice of change of enterprise registration contents according to form No. 12 of Circular 68/2025/TT-BTC on forms used in enterprise registration and business household registration;
  • Power of attorney (in case of submission of a dossier of change of business registration through an authorized unit).
  • Receiving agency: Business Registration and Corporate Finance Department – Hanoi Department of Finance.
  • Submission method: Submit online via the National Business Registration Portal (dangkykinhdoanh.gov.vn).
  • Processing time: 03 working days for procedures for changing business registration from the date the Business Registration and Corporate Finance Department receives the dossier during office hours.
  • Fees: Exemption from fees for announcing changes in enterprise registration.

In case of further changes to other contents of the enterprise

  • Decision of the competent authority in the company, depending on the type of enterprise (Owner, Members’ Council, or General Meeting of Shareholders/Board of Directors).
  • Written request/Notice of change of enterprise registration contents (according to Form No. 12 of Circular 68/2025/TT-BTC).
  • List of beneficiary owners (according to Form No. 10 of Circular 68/2025/TT-BTC).
  • Additional documents (Depending on the specific content of the change), the enterprise needs to provide additional documents corresponding to each change, for example:
    • When changing the legal representative: Supplement relevant documents (e.g. transfer contract or minutes of liquidation of the LC, if this change arises from the transfer activity).
    • When changing the address to another area: If the change of address (different from only updating the name of the ward) leads to the transfer to another tax agency for management, the enterprise is required to complete the tax finalization procedures at the old agency first.
    • When increasing charter capital: Supplementing the minutes of the meeting on the capital increase and papers certifying the completion of capital contribution.

Article 17 of Decree 168/2025/ND-CP provides a legal basis for determining the “Beneficial Owner” of a legal entity. Accordingly, the beneficial owner must be an individual and be identified based on two main groups of criteria: ownership and control.

  • Firstly, in terms of ownership, an individual is considered a beneficial owner if he directly or indirectly holds (through another organization) 25% of the charter capital or 25% of the total voting shares of the enterprise.
  • Secondly, in terms of control, even if the above ownership ratio is not reached, an individual is still identified as a beneficial owner if he holds actual control over the supreme decisions of the enterprise. These rights include the right to decide on the appointment and dismissal of the Board of Directors (such as the Board of Directors, Directors), the right to amend the Charter, or the right to dispose of issues of restructuring and dissolution.

The law also clearly stipulates the obligation of enterprises to declare this information in the enterprise registration dossier and update it every time they carry out procedures for changing other business registration contents.

  • Submission method: Submit online via the National Business Registration Portal (dangkykinhdoanh.gov.vn).
  • Processing time: 03 working days for procedures for changing business registration from the date the Business Registration and Corporate Finance Department receives the dossier during office hours.
  • Fee: 100,000 VND.

Cases in which business registration is not allowed to be changed in Kim Lien Ward

It should be noted that not all enterprises in Kim Lien ward after the merger of administrative boundaries can carry out the procedures for updating business registration after the merger. According to regulations, the Business Registration Authority will refuse or not accept the dossier if the enterprise is falling into one of the following legal statuses:

  • Enterprises in the process of revocation of the Certificate: Including cases where the enterprise has been issued a notice of violation by the Business Registration Office, or has a Decision to revoke the Enterprise Registration Certificate.
  • Enterprises in the process of dissolution: Enterprises that have issued a dissolution decision and are in the process of carrying out procedures according to the dissolution process will not be allowed to change the business registration contents.
  • Enterprises are prevented at the request of legal agencies: The change is suspended at the written request of the Court, the judgment enforcement agency, or the police (including the investigating agency, the head, the deputy head of the investigating agency, and the investigator in accordance with the provisions of the Criminal Procedure Code).
