Amend the Investment Certificate in Da Nang City after merging

Currently, Da Nang City is one of the most dynamic economic development centres in Central Vietnam, attracting a growing number of foreign investors. In addition to the establishment of new investment projects, the adjustment of existing investment projects has also become increasingly common, leading to a rising demand for amending the Investment Registration Certificate.     Information on Da Nang City after the Merger

    According to the current policy on reorganising provincial-level administrative units, Quang Nam Province and Da Nang City have been merged into a new administrative unit, retaining the name Da Nang City. The political and administrative centre is located in the current Da Nang area.

    The combined potential of Quang Nam and Da Nang is substantial, especially as both localities have established comprehensive master plans. This provides a crucial foundation for more effective and integrated exploitation of the region’s strengths.

    Current Investment Registration Situation in Da Nang City

    In the former Da Nang City

    As of December 31, 2024, the city had attracted over VND 75,000 billion in domestic investment capital. This figure represents a 35.2% increase compared to the same period in 2023, which recorded VND 55,439 billion.

    Among the investment activities, 10 new projects were granted decisions on investment policy approval and investment registration certificates, with a total investment capital of VND 24,393 billion, representing an increase of over 220% compared to the same period in 2023, which had only 13 projects with VND 7,609 billion in total capital.

    Additionally, 6 projects underwent capital adjustments with an additional VND 50,613 billion in investment.

    Several notable new projects received investment policy approval, including:

    The Commercial Centre, Office for Lease, and High-rise Residential Project by Thanh Lam Real Estate JSC, with an investment capital of over VND 1,167 billion.

    The Red Star Commercial Complex, Office Tower, and Apartment Project by Red Star Da Nang JSC, with a total investment of over VND 3,430 billion.

    In the former Quang Nam Province

    On March 5, 2025, Quang Nam Province granted Investment Registration Certificates to six notable projects, with a total investment capital exceeding VND 1,071 billion.

    Among them are several key projects, including:

    • The Wiring Harness Auto Parts Assembly Project, with a total investment of VND 146.4 billion, was invested in by Kyungrim Tech JSC.
    • The Packaging Support Industry Factory Project, with a total investment of VND 168 billion, was invested in by Oriental Commerce Vina Co., Ltd (South Korea).
    • The Thaco Auto Research and Development (R&D) Centre Construction Project, with a total investment of over VND 296 billion, was invested in by Thaco Auto Co., Ltd.
    • The Household Appliance Manufacturing Plant, with a total investment of over VND 58 billion, was invested in by Standard Track Company Limited (China), and others.

    In addition to ongoing projects, Quang Nam is also prioritizing investment attraction in strategic sectors such as: Mineral industries (including gold, soil, gravel, and sand); Renewable energy; Medicinal herb development through the project titled “Development and Establishment of a Medicinal Herb Industrial Center in Quang Nam Province with Ngoc Linh Ginseng as the Key Crop”; Silica projects; Cooperative economy and cooperatives associated with OCOP products, among others.

    Cases requiring adjustment of the amended Investment Certificate in Da Nang City after merging

    The Investment Registration Certificate is a physical or electronic document recording the investor’s registered information regarding the investment project. The certificate includes specific contents as stipulated under Article 40 of the Law on Investment 2020.

    During the implementation of an investment project, investors have the right to adjust project objectives, transfer part or all of the project, merge projects or split one project into several, use land use rights and on-site assets as capital contributions to establish an enterprise or engage in business cooperation, among other matters.

    According to Article 41 of the Law on Investment 2020, if the adjustment of the investment project results in changes to the contents of the Investment Registration Certificate, the investor must carry out procedures to adjust the certificate.

    Adjustment of the Investment Registration Certificate (ERC)

    Specifically, the following cases result in changes to the content of the Investment Registration Certificate:

    • Name of the investment project
    • Investor(s)
    • Project identification number
    • Project location and land area used
    • Objectives and scale of the investment project
    • Investment capital (including the investor’s contributed capital and mobilised capital)
    • Project duration
    • Implementation schedule of the investment project
    • Forms of investment incentives, supports, and the applicable grounds and conditions (if any)
    • Conditions imposed on the investor for implementing the investment project (if any)

    Note on the authority handling investment amendment Investment Certificate in Da Nang City after merging

    Under Article 39 and Clause 2, Article 41 of the Law on Investment 2020, the competent authorities responsible for receiving the dossier for adjustment of the Investment Registration Certificate in Da Nang City include:

    Department of Finance of Da Nang City

    The Department of Finance of Da Nang City is responsible for adjusting the Investment Registration Certificate for investment projects outside industrial parks, export processing zones, high-tech parks, and economic zones.

    Note: This authority previously belonged to the Department of Planning and Investment. However, this department has now been merged into the Department of Finance.

    Da Nang Hi-Tech Park and Industrial Zones Authority

    The Da Nang Hi-Tech Park and Industrial Zones Authority is responsible for adjusting the Investment Registration Certificate for investment projects located within industrial parks, export processing zones, high-tech parks, and economic zones.

    Procedure for amending the Investment Certificate in Da Nang City after merging

    The procedure for adjusting the Investment Registration Certificate for projects not subject to investment policy approval shall be carried out by Article 47 of Decree No. 31/2021/ND-CP, specifically as follows:

    Procedure for amending the Investment Certificate

    Adjustment of Investment Project Involving Change of Project Name or Investor Name on the Investment Registration Certificate:

    • The investor shall submit a written request for project adjustment to the Investment Registration Authority using Form A.I.11.h under Circular No. 25/2023/TT-BKHDT, along with documents related to the change of project name or investor name.
    • Within 03 working days from the date of receiving the written request, the Investment Registration Authority shall adjust the Investment Registration Certificate for the investor.

    For adjustments not involving changes to the project name or investor name:

    • The investor shall submit 01 set of documents as prescribed in Clause 1, Article 44 of Decree No. 31/2021/ND-CP to the Investment Registration Authority.
    • Within 10 working days from the date of receiving a valid dossier, the Investment Registration Authority shall proceed with the adjustment of the Investment Registration Certificate.

    Note on adjustment of the Investment Registration Certificate via online submission

    According to Article 39 of Decree No. 31/2021/ND-CP, the procedure for adjusting the Investment Registration Certificate (IRC) can be carried out online as follows:

    For investment projects not subject to investment policy approval, investors may choose to submit the application for adjustment either in hard copy or online via the National Investment Information System, using either a digital signature or no digital signature.

    The online application dossier for IRC adjustment must include the required data and be presented in electronic document format, with legal validity equivalent to the hard copy.

    An online dossier is considered valid when it meets the following conditions:

    • All documents are complete and fully declared as required for a paper dossier, presented in electronic format and named by the type of document.
    • The information declared on the system is complete and accurate as per the paper dossier and is either digitally signed by the investor or verified for consistency with the paper dossier.

    Note on the procedure for adjustment of investment projects subject to investment policy approval

    According to Clause 2, Article 43 of Decree No. 31/2021/ND-CP, for projects that have already been granted investment policy approval, the investor must follow these procedures:

    • If the adjustment to the investment project requires amending the investment policy approval as stipulated in Clause 3, Article 41 of the Law on Investment, the investor must carry out the procedure to adjust the Decision on Investment Policy Approval.
    • If the adjustment does not fall under the cases specified in Clause 3, Article 41 of the Law on Investment, the investor is not required to obtain adjusted investment policy approval, but must still carry out the procedure to adjust the Investment Registration Certificate (if applicable).
    • If the adjustment changes the project’s nature so that it becomes subject to investment policy approval, even though it was not previously, the investor must carry out the procedure to obtain investment policy approval.
