Are enterprises required to carry out procedures for changing business registration in Yen Hoa Ward after merging administrative boundaries
Regarding the concerns of businesses in Yen Hoa Ward about the obligation to change business registration after the merger, Official Letter 4370/BTC-DNTN in 2025 has issued detailed guidance on this issue. The content of this document clearly affirms that updating address information on the Business Registration Certificate (ERC) is not mandatory. Specifically, Official Letter 4370/BTC-DNTN has clarified the following three contents.
- Firstly, in terms of legal validity: All types of Certificates that have been issued (including Business Registration Certificates, Certificates of Registration of Business Households, Cooperatives, and Certificates of Operation of Branches/ROs/Business Locations) remain legally valid and continue to be used normally by enterprises.
- Secondly, about the responsibilities of management agencies: Business registration agencies are not allowed to require or compel enterprises, business households and cooperatives to carry out procedures for registering changes in address information just for the reason of changing administrative boundaries.
- Thirdly, about the initiative of enterprises: The law gives full self-determination to enterprises. Businesses can choose to update the new address information when needed or can do so at the same time when registering to change other contents in the future.
Dossier to change business registration in Yen Hoa Ward
Case 1: Only the address is updated due to the change of administrative boundaries
This is a procedure applied when the enterprise only updates the name of the ward to be consistent with the actual merger. The dossier to be prepared includes:
- An application for registration of changes in the contents of the Enterprise Registration Certificate (according to Form No. 12, Circular 68/2025/TT-BTC).
- Power of attorney (if the applicant is not the legal representative).
- Fees: Enterprises are exempt from publication fees.
Case 2: Update the address in combination with other content changes
This is a case where the business combines updating the address simultaneously with other changes. The list of documents to be prepared includes:
- Written decision on change of business registration contents of the company depending on the type: Decision of the Owner, Decision of the Board of Members, or Decision of the General Meeting of Shareholders/Board of Directors).
- An application for registration of changes in the contents of the Enterprise Registration Certificate (according to Form No. 12, Circular 68/2025/TT-BTC).
- List of beneficiary owners (according to Form No. 10, Circular 68/2025/TT-BTC).
- Additional documents depending on the changes (e.g. Transfer contract, Tax closing document, Minutes of the meeting on capital increase, Documents certifying capital contribution, etc.).
- Fees: Enterprises must pay an announcement fee of 100,000 VND.
Processing dossiers to change business registration in Yen Hoa Ward
Step 1: Apply (Online)
Enterprises are required to submit documents online at the National Business Registration Portal (https://dangkyquamang.dkkd.gov.vn/online/Default.aspx).
Step 2: Pending
The Business Registration Agency will process the application within 03 (three) working days from the receipt of a valid dossier.
Step 3: Get the results
The enterprise receives the result (currently Hanoi returns the result is an electronic version of the Business Registration Certificate with digital signature).
